1. Acceptance of Terms

By requesting a quotation, placing an order, making a payment, signing an agreement, or using any of our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

2. Project Commencement & Advance Payment

• No project shall commence without the receipt of the agreed advance payment.
• Elegant E Designs reserves the right to delay, suspend, or decline any project until the required advance payment is received.

3. Website Design & Development

3.1 Ownership Rights
Unless otherwise agreed in writing, all intellectual property rights, ownership rights, and proprietary rights relating to any website designed or developed by Elegant E Designs shall remain the exclusive property of Elegant E Designs.

3.2 Source Code
The source code, backend files, development files, frameworks, templates, proprietary tools, and any other underlying technical assets used in developing the website shall not be provided, transferred, or sold to the Client. The Client receives only the rights expressly specified in the proposal, quotation, or service agreement.

4. Graphic Design Services

• All concepts, drafts, source files, editable files, and working files, including but not limited to PSD, AI, CDR, EPS, and other editable formats, shall remain the property of Elegant E Designs until full payment has been received.
• Source files will not be released until all outstanding payments have been cleared.

5. Video Production & Editing Services

• All raw footage, recorded videos, project files, editing files, and production assets shall remain the property of Elegant E Designs until full payment is received.
• Raw footage and final deliverables may be withheld until all dues have been fully paid.

6. Digital Marketing & Advertising Services

6.1 Advertising Budget
For all paid advertising campaigns, including Meta Ads, Google Ads, YouTube Ads, LinkedIn Ads, and other digital advertising platforms, the Client must provide 100% of the advertising budget in advance before the campaign is launched.

6.2 Marketing Results Disclaimer
Digital marketing results depend on numerous factors, including market conditions, competition, customer behavior, and platform algorithms. Therefore, Elegant E-Designs does not guarantee specific rankings, leads, sales, revenue, or business outcomes. The Client acknowledges that digital marketing activities generally require 3 to 6 months to produce measurable and sustainable results.

7. Project Timelines

• Project timelines provided by Elegant E-Designs are estimates and may vary depending on project complexity, revisions, client approvals, and the timely submission of required information.
• Delays caused by the Client, including delayed feedback, approvals, content submission, or payments, may result in revised delivery schedules.
• Elegant E Designs shall not be liable for delays arising from factors beyond its reasonable control.

8. Revisions & Change Requests

• Each project includes a limited number of revisions as specified in the quotation or proposal.
• Any revisions beyond the agreed scope may be treated as additional work and may incur additional charges.
• Major changes to approved concepts, designs, strategies, or project requirements may require a revised timeline and additional fees.

9. Project Discontinuation & Termination

• If the Client wishes to discontinue, suspend, or terminate any ongoing project or service, the Client must provide a minimum of 15 (fifteen) days' prior written notice.
• The Client shall remain liable for payment of all work completed, expenses incurred, advertising costs, third-party charges, and any outstanding fees up to the date of termination.

10. Payment Terms

• All invoices must be paid according to the payment schedule specified in the proposal or agreement.
• Elegant E Designs reserves the right to suspend work, withhold deliverables, or terminate services in the event of delayed or non-payment.
• Unless otherwise agreed in writing, all payments made are non-refundable.

11. Confidentiality

Elegant E Designs respects the confidentiality of its Clients and undertakes to maintain the confidentiality of proprietary information shared during the course of the project. Similarly, the Client agrees not to disclose, reproduce, distribute, or misuse any confidential information, strategies, designs, concepts, methodologies, source materials, or proprietary processes belonging to Elegant E Designs without prior written consent. This confidentiality obligation shall survive the completion or termination of the project.

12. Intellectual Property Rights

All concepts, designs, graphics, strategies, documents, presentations, methodologies, source materials, templates, and proprietary processes created or developed by Elegant E Designs remain the intellectual property of the Company unless expressly transferred through a separate written agreement.

13. Force Majeure

Elegant E Designs shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including but not limited to:

• Natural disasters
• Floods, fires, or earthquakes
• Government restrictions
• Internet outages or power failures
• Cyberattacks or technical disruptions
• Pandemic or public health emergencies
• War, civil unrest, strikes, or labor disputes

In such circumstances, project timelines may be reasonably extended.

14. Limitation of Liability

Under no circumstances shall Elegant E Designs be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, business interruption, loss of data, loss of goodwill, or failure to achieve anticipated marketing results arising from the use of our services.

15. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms and Conditions or the services provided by Elegant E Designs shall first be attempted to be resolved amicably through mutual discussions. If the dispute cannot be resolved amicably within thirty (30) days, the matter shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996 of India. The place of arbitration shall be Ujjain, Madhya Pradesh, India, and proceedings shall be conducted in the Hindi language.

16. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Subject to the arbitration provisions above, the courts located in Ujjain, Madhya Pradesh, India, shall have exclusive jurisdiction over all matters arising out of or relating to these Terms and Conditions.

17. Amendments

Elegant E Designs reserves the right to modify, update, or revise these Terms and Conditions at any time without prior notice. The updated version shall become effective immediately upon publication on this website.
